1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of MailCutover (the "Service"), operated by [Your Company Legal Name] ("we", "us", "our"). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you and that organization.

2. Description of the Service

MailCutover automates the migration of IMAP mailboxes from a cPanel-hosted source (or, where you configure a custom source, any IMAP-reachable mailbox) to a Plesk, cPanel, or custom-IMAP destination. To do this, the Service connects to servers and mailboxes you configure using credentials you provide, resets mailbox passwords where applicable, monitors restore status, and runs imapsync to copy mail, reporting progress back to you in real time.

3. Accounts & Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. Account authentication is handled by our identity provider (Clerk); you are responsible for maintaining the security of your sign-in credentials and for all activity that occurs under your account or organization workspace. Notify us immediately if you suspect unauthorized access.

4. Your Responsibility for Authorization

MailCutover's entire function is to connect to mail servers, cPanel/Plesk control panels, and mailbox accounts using credentials you provide, and to move mail between them. By submitting any hostname, username, password, or API credential to the Service, you represent and warrant that you own the systems in question or are authorized by their owner to access and migrate them.

You are solely responsible for the legality and authorization of every migration you initiate. MailCutover does not and cannot verify server ownership or authorization on your behalf — it acts on the credentials you give it. Submitting credentials for systems you are not authorized to access is a violation of these Terms and may violate applicable law.

5. Fees, Billing & Plans

The Service offers a Free plan with usage limits (currently a limited number of active migration projects) and one or more paid plans with expanded limits and additional capabilities, including API access. Payment processing for paid plans is handled by Stripe via our billing provider, Clerk Billing — we never receive or store your full card number. Fees are billed in advance on a recurring basis for your chosen plan and are non-refundable except where required by law. We may change plan pricing or limits with reasonable notice; continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing.

6. API Keys

Workspaces on a paid plan may generate API keys to trigger migrations programmatically instead of through the dashboard. An API key carries the same authority as your logged-in session for the workspace it belongs to. You are responsible for keeping API keys confidential and for all activity performed with them; if a key is compromised, revoke it immediately from your workspace's API Keys page. We may rate-limit API requests to protect the Service's availability for all customers.

9. Intellectual Property

The Service, including its software, design, and branding, is owned by us and our licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own mail migration purposes — nothing here transfers ownership of the Service to you.

10. Termination

You may stop using the Service and delete your projects and account at any time. We may suspend or terminate your access if you violate these Terms, including the authorization and acceptable-use provisions above, or if required to do so by law. Upon termination, your right to use the Service ends immediately; we will handle any remaining data per our Privacy Policy.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that migrations will be error-free or that the Service will be uninterrupted. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, including lost data, lost profits, or lost mail, arising from your use of the Service, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms is limited to the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or third-party right, or your unauthorized use of any server or mailbox credentials with the Service.

13. Governing Law
